Start with the right structure

A UK branch or
a UK subsidiary?

They are different legal arrangements. Your appointed legal and tax advisers assess which fits your activities and existing company. We coordinate the practical setup around that decision.

Two common ways for an overseas company to establish a UK presence
What changesUK branchUK subsidiary
Legal positionPart of your overseas company. It is not a separate legal entity; the overseas company remains responsible for its obligations.A separate UK company owned by your overseas business, commonly a private limited company.
RegistrationYour adviser checks the requirements to register a UK establishment of the existing overseas company.A new company is incorporated with Companies House, with its own company records and filing obligations.

The choice affects liability, reporting and tax. A registration alone does not settle your tax position or give anyone permission to work in the UK.

What we help you put in place

From the first decisions
to an office your team can use.

Choose the work you need help with. We coordinate the local tasks and keep them aligned with your advisers, budget and planned opening.

01

Launch planning

Turn your UK expansion brief into a sequence of decisions and tasks, so your team knows what needs to happen first.

  • Define the location, team size, activities and target dates.
  • Separate setup costs from ongoing operating costs.
  • Identify dependencies and specialist input your sector may need.
02

Registration coordination

Keep information requests and appointments moving between your team and the professionals handling registration.

  • Track their document checklist and outstanding information.
  • Coordinate requested translations and certification appointments.
  • Schedule identity-verification steps with the relevant provider.
03

Office & location search

Compare workspace against your headcount, client access, commute and budget before making a commitment.

  • Shortlist serviced offices, coworking and leased space.
  • Compare rent, service charges and business rates where applicable.
  • Coordinate viewings and questions for your property adviser.
04

Banking, accounting & payroll

Organise the practical preparation for banking and finance, with your chosen providers making the technical decisions.

  • Gather banks’ application requirements for your company.
  • Coordinate meetings with your accountant or payroll provider.
  • Track the tax, VAT and employer setup tasks they identify.
05

Workspace & supplier setup

Bring the practical essentials into the opening schedule, with suppliers and costs approved by you.

  • Gather quotes for internet, IT, furniture and local services.
  • Coordinate deliveries, installations and building access.
  • Track landlord, insurance and workplace tasks with the responsible specialists.
06

Employee relocation

Plan staff moves around office readiness and the permissions confirmed by your immigration advisers.

How it works

A practical route
from brief to opening.

We agree the work before it begins and build the schedule around decisions, approvals and supplier availability.

  1. 01

    Share your UK plans.

Tell us what your business does, where you want to open, the likely team size and what you have already arranged.

We identify the support you need.

  2. 02

    Agree scope and responsibilities.

We prepare a proposal with services, fees and a working timetable, aligned with the route your advisers recommend.

You approve the plan and spending limits.

  3. 03

    Coordinate and hand over.

We follow up on agreed tasks, flag decisions and coordinate the office and staff moves. At handover, you receive a record of completed and outstanding work.

Your team knows what happens next.

Fees & scope

A proposal built
around your opening.

Our fee depends on the location, team, timeline and work you select. We agree the scope, support period and fees in writing, showing any applicable VAT.

Our coordination fee

Your proposal sets out the tasks, search limits, reporting and handover included. Any additional work needs your approval.

Professional and operating costs

Legal and accounting advice, registration charges, banking fees, rent, deposits, business rates, equipment and staff relocation costs are separate unless expressly included.

You approve third-party costs before we make commitments.

Questions about
your UK setup.

You can come to us with an early plan or ask for help with specific parts of an opening already under way.

Do we need a UK branch to sell to UK customers?

Not necessarily. Selling to UK customers does not by itself mean you must register a UK establishment. A physical presence, your activities and your tax position need separate assessment. Ask your legal and tax advisers to confirm the requirements before you commit to a structure or premises.

Can you work with our existing lawyers and accountant?

Yes. We agree contacts, responsibilities and information sharing with the firms you appoint. If you still need UK specialists, we can help you identify suitable firms to approach. You choose and engage them directly.

What documents should we have ready?

Your appointed professional provides the final checklist. Depending on the route, it may include your existing company’s constitutional documents and accounts, director and ownership information, translations and identity-verification steps. Send sensitive documents directly through the provider’s agreed secure process.

How long will it take to open?

Registration, banking, premises and staffing follow different timelines. We build a working schedule after checking your documents, approvals and suppliers. Company registration alone does not mean the office is ready to operate, and we cannot guarantee bank approval or a fixed opening date.

Can we organise the setup from outside the UK?

Much of the planning and coordination can start remotely. We confirm with each provider whether meetings, identity checks, signatures or visits require someone to attend in person, and build those requirements into your schedule.

Does opening a company allow us to move staff to the UK?

No. Company registration and immigration permission are separate. Your regulated immigration adviser should assess the route for your business and each employee, including any sponsorship requirements. We coordinate the practical move around the permissions and dates they confirm.

Plan your UK opening

Where do you want
to take your
business next?

Tell us about your company, intended UK location and the help you need. We will confirm what we can deliver and prepare a proposal with scope and fees.

You do not need every decision made.

Let us know what is confirmed, which advisers you have appointed and what still needs organising.

All fields are required unless marked optional.

Please do not include identity documents, bank details or confidential company records.
